Established in 1987 and headquartered in Taiwan, TSMC pioneered the pure-play foundry business model with an exclusive focus on manufacturing its customers’ products. Position Overview

We are seeking an experienced and highly skilled Senior Attorney to provide comprehensive legal services, including leading contract drafting, review and negotiations, managing legal projects, and supporting R&D and corporate operations.

This role focuses on contract drafting, review and negotiation and managing legal projects, specifically with academic and/or research institutions worldwide. Additionally, the successful candidate will also provide strategic and professional advice to R&D, BD and Operations on potential or actual legal issues across diverse operational matters.

Job Responsibilities

1.Academic and Research Institutions transactions : Draft, negotiate, and review academic research and joint development contracts, ensuring full alignment with TSMC’s objectives, technical requirements, and legal standards. Also will help CR maintain good working relationship with all oversea institutions.

2.Partners Collaboration: Discuss and provide early legal support for potential partner collaborations, and provide drafting, negotiations and commercial advices.

3.R&D, BD and Operation Transactions: Draft, negotiate, and review contracts, including without limitation, licensing agreements and joint development agreements, ensuring full alignment with TSMC’s objectives, technical requirements, and legal standards.

4.Legal Advisory: Provide legal counsel on RD engagements, business transactions, operational matters, and IP related matters to mitigate corporate risk.

Job Qualifications

1. Education: JD or LLM degree from a top-tier US or UK law school with excellent academic credentials.

2. Experience: A minimum of 5 to 8 years of professional legal experience, with qualified attorney license and with a proven track record as inhouse counsel providing legal advisory roles in corporate matters and contract related matters.

3. Language Proficiency: Native or professional fluency in written and spoken English is required to facilitate cross-border collaboration and complex negotiations.

4. Technical Skills: Proficiency in drafting, negotiating, and reviewing commercial agreements.

5. Professional Competencies: Exceptional attention to detail, strong analytical skills, and the ability to communicate effectively and influence decision-making in a fast-paced, global corporate environment.
