About the Role
RingCentral is looking for an experienced Senior Paralegal Corporate & Securities to join our Legal team. This position is based in RingCentral's Belmont, California office and is expected to work from the office. This individual will support the Company’s corporate and securities practice, working closely with internal attorneys, outside counsel, and cross-functional teams on securities compliance, corporate governance, equity matters, and other general corporate matters.
The ideal candidate is an experienced, proactive, highly organized, detail-oriented, and comfortable managing multiple projects and deadlines in a fast-paced public company environment.
Key Responsibilities
- Assist with the preparation, coordination, and filing of SEC filings, including Forms 10-K, 10-Q, 8-K and S-8, proxy statements, and Section 16 filings.
- Support annual stockholder meeting and proxy statement preparation, including timelines, D&O questionnaires, information gathering, supporting documentation, and meeting logistics.
- Support Board and Committee matters, including preparation and maintenance of minutes, resolutions, written consents, meeting materials, and corporate governance records.
- Assist with equity matters, including equity grant approvals, 10b5-1 plans, insider trading communications, and related documentation and tracking.
- Assist with quarterly and annual reporting and disclosure processes, including information gathering, due diligence, related-party matters, supporting documentation, and coordination of internal and external reviews.
- Coordinate with Finance, Accounting, Investor Relations, Stock Administration, HR, and other teams to gather information and supporting documentation for corporate and securities matters.
- Assist with U.S. and international subsidiary governance and maintenance of corporate records.
- Support dividend administration, stockholder matters, and coordination with the NYSE, transfer agent, brokers, and other service providers.
- Maintain corporate and securities calendars, records, databases, and supporting documentation.
- Coordinate with outside counsel and third-party service providers on corporate and securities matters.
- Provide support for financing and other corporate transactions and special projects, as needed.
Desired Qualifications
- 7+ years of corporate and securities paralegal experience, preferably with a publicly traded company and/or major law firm.
- Strong familiarity with SEC reporting, Section 16, corporate governance, Board processes, and equity matters.
- Experience with Workiva, EDGAR, and public-company filing processes preferred.
- Experience with board management, entity management, or similar corporate governance platforms preferred.
- Excellent organizational and project-management skills with exceptional attention to detail.
- Ability to manage multiple deadlines and workstreams with limited supervision.
- Strong written and verbal communication skills and ability to work effectively across functions and with senior management.
- Proactive, collaborative, and comfortable taking ownership of processes and driving matters to completion, with an interest in improving processes and workflows.
- High ethical standards and ability to maintain the confidentiality of sensitive and material non-public information.

If you are Belmont, California, the compensation range for this position is between $118,500 and $144,500 for full-time employees, in addition to eligibility for variable pay, equity, and benefits. Benefits may include, but are not limited to, health and wellness, 401k, ESPP, vacation, parental leave, and more! The salary may vary depending on your location, skills, and experience.
