Senior Associate M&A & Carve-out

Location: Beijing preferred; other locations in Mainland China may be considered

Organization: MAP (Mergers, Acquisitions and Post Closing Management) – Asia and Australia

Reporting to: Head of MAP Asia and Australia

The Role

As Senior Associate M&A & Carve-out, you will be part of MAP (Mergers, Acquisitions and Post Closing Management), Siemens’ global transaction function, with responsibility for M&A projects across Asia and Australia and carve-out projects. You will work on acquisitions, divestments, joint ventures, minority investments and public M&A as well as carve-out projects.

You will take responsibility for major project modules in complex M&A projects and, depending on your experience and project complexity, increasingly lead projects independently. For carve-out projects, you will take a broader project management role, coordinating the overall separation process together with the HQ carve-out team and functional experts.

The role is designed for an experienced transaction professional who wants to broaden their perspective and develop toward full M&A and carve-out project leadership.

What You Will Do

M&A

• Research and analyze businesses, markets and transaction opportunities, developing a clear understanding of the business model, value drivers and strategic rationale.

• Review and challenge business plans and key assumptions; perform company valuations using relevant methodologies, including DCF, trading multiples and precedent transaction multiples, and assess transaction economics.

• Develop and evaluate transaction structures in line with the strategic objectives and transaction rationale.

• Drive the transaction process, coordinate due diligence across relevant internal functions and external advisors, identify key commercial and transaction risks, and develop pragmatic solutions together with the business and relevant experts.

• Prepare clear, decision-oriented materials and recommendations for senior management and relevant decision-making bodies.

• Review key transaction documents, including SPAs and JV agreements, and actively participate in commercial and contractual negotiations.

Carve-out

• Drive the overall carve-out project, acting as the central project management interface, working closely with the HQ carve-out team and coordinating businesses and functional workstream experts to execute the separation plan and achieve key milestones and operational Day-1 readiness.

• Closely monitor carve-out progress and critical interdependencies, proactively resolve or escalate key issues, develop pragmatic solutions, and report progress and key risks to relevant stakeholders.

What You Bring

• 3–6 years of relevant experience in M&A, investment banking, private equity, venture capital, transaction/deal advisory, corporate M&A, strategy consulting, carve-out/separation or a comparable transaction environment.

• Strong financial and commercial acumen, with a solid understanding of corporate finance, accounting, valuation and business models.

• Experience working on complex transactions or projects in an international or cross-border environment.

• Strong analytical and problem-solving skills, combined with pragmatism and sound commercial judgment.

• Strong communication and interpersonal skills, with the ability to structure complex topics and communicate effectively with senior stakeholders.

• Intellectual curiosity, attention to detail and a strong sense of ownership.

• Fluent English and Mandarin Chinese; additional languages are an advantage.

• Bachelor’s degree in business administration, finance, economics or a comparable field.
