As a Paralegal, you will play a key role in supporting FactSet's corporate governance and securities function, working on high-impact initiatives that shape how FactSet manages these critical areas. You will join a dynamic and highly collaborative team handling governance, securities, capital markets, and policy matters, where your contribution will be immediate and meaningful. What You'll Do:

  • Support various governance and corporate secretarial initiatives and processes, including assisting senior counsel in preparing materials for board and committee meetings
  • Prepare, maintain, and ensure the accuracy of corporate books, minutes, and approvals, and assist with the board and regulatory calendar and planning
  • Support periodic and current reporting processes (Forms 10-K, 10-Q, and 8-K) and proxy statements
  • Support the preparation and submission of NYSE/Nasdaq filings and notifications
  • Lead Section 16 reporting and beneficial ownership tracking
  • Maintain insider trading compliance processes, D&O questionnaires, and related governance certifications
  • Support planning and logistics for the annual meeting of shareholders
  • Organize and maintain legal files and databases
  • Identify governance gaps or process inefficiencies and drive improvements to enhance transparency and reduce risk
  • Help implement process improvements, workflow enhancements, and governance best practices
  • Provide general administrative support to the Legal team as needed

What We're Looking For:

  • Bachelor's degree from an accredited institution
  • Minimum of 5 years of paralegal experience in securities law, preferably at a law firm or in-house legal department; prior in-house experience is required
  • Broad exposure to corporate secretarial, corporate law, or other related compliance activities
  • Familiarity with SEC reporting, Section 16 compliance, insider trading programs, and public company governance
  • Proficiency with EDGAR, SEC filing platforms, and board portals
  • Strong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
  • Exceptional organizational skills and attention to detail
  • Ability to manage competing priorities and meet strict deadlines
  • Experience handling confidential information and working with senior management
  • Strong interpersonal skills, sound judgment, and commitment to teamwork
  • Ability to to work hybrid schedule in NYC - 3-day in-office and 2-day remote schedule.

The budgeted salary amount range for this position in New York City is $80K- $100k
