Job Description Summary:

The Government Contracts (“GovCon”) Manager oversees U.S. Government funded contracts between Cadence and its Aerospace & Defense customers, spanning a range of deal types including software, hardware, IP, and design services. This role is responsible for coordinating government contract functions with a focus on proposal support, project execution, and risk mitigation, and serves as a liaison between legal, sales, finance, programs, and other internal stakeholders, and is responsible for identifying and mitigating contract-related risks.

In this role, you will advise internal stakeholders on contract strategy, regulatory and corporate policy compliance requirements, organizational conflict of interest mitigation, and risk management, while interfacing directly with senior leadership, sales executives, program managers, and contracting officers to resolve issues that arise during capture, proposal development, contract negotiation, performance, and closeout. The ideal candidate is comfortable balancing competing priorities across multiple stakeholder groups and moving several complex deals forward at once.

This position requires access to information subject to U.S. export control laws, and the successful candidate must therefore be a U.S. Person as defined in 8 U.S.C. §1101(a)(20), or 8 U.S.C. § 1324b(a)(3).

Key Responsibilities:

  • Manage the full lifecycle of U.S. Government-funded contracts and subcontracts, from capture and proposal support through negotiation, execution, administration, and closeout.
  • Advise on compliance with the Federal Acquisition Regulation (the “FAR”), the Defense Federal Acquisition Regulation Supplement (the “DFARS”), other agency supplements, and Cadence corporate policy.
  • Support proposal development, including review of solicitations, identification of problematic terms, and preparation of exceptions and clarification requestions.
  • Support legal with contract negotiation of prime contracts, subcontracts, teaming agreements, NDAs, and related agreements.
  • Partner with legal, sales, finance, programs, and other stakeholders to align contractual terms with business objectives and delivery commitments.
  • Broad knowledge of Cadence products, services, policies, and processes.

Requirements:

  • 5+ years of experience with government contracts, including overseeing complex proposals and negotiations.
  • Bachelor’s degree in relevant field.
  • Broad knowledge of the FAR and DFARS, including extensive experience with FAR Part 12 contracting and familiarity with data rights.
  • Detailed-oriented, excellent verbal/written communication skills.
  • Highly proficient in Microsoft Office.
  • Must be a U.S. person as defined by 8 U.S.C. §1101(a)(20) or 8 U.S.C. 1324b(a)(3).

Preferred Qualifications:

  • Experience in technical software and/or electronics industry.
  • Expertise in FAR Part 15 and DFARS Part 227
  • Knowledge of Other Transaction Agreements, Broad Agency Announcements, the CHIPS Act, and other similar non-standard U.S. government matters.
  • Eligibility to obtain and maintain a U.S. government security clearance.

The annual salary range for San Jose, CA is $ 127,400 to $236,600. You may also be eligible to receive incentive compensation: bonus, equity, and benefits. Sales positions generally offer a competitive On Target Earnings (OTE) incentive compensation structure.
