Corporate Counsel, AWS Legal
Amazon's Legal Department is looking for a talented attorney to support Annapurna Labs, the silicon innovation arm of Amazon Web Services (AWS). This role will provide a blend of counseling and transactional support to Annapurna Labs leaders across engineering (chip, hardware, and software), supply chain, and product management for leading-edge custom chips for the AWS cloud (Trainium, Graviton, Nitro).
The transactions include a wide variety of deal types, including: chip, hardware, and software licensing and development agreements; chip technology licensing; chip fabrication agreements; supply, procurement, and manufacturing agreements; and a variety of services agreements. You will also help identify, counsel on, and resolve a wide array of commercial, operational, legal, and other issues, but particularly on intellectual property (IP) hygiene, IP protection and licensing, and vendor engagement and negotiation strategies. Over time, you will learn about the business to understand and anticipate the key risks we face, partner with your clients to develop and execute appropriate mitigation strategies, and ultimately help chart long-term strategy.

Key job responsibilities
- Provide strategic and tactical legal advice on complex matters, presenting a range of solutions while clearly articulating the benefits, risks, and trade-offs of each approach to business stakeholders.
- Draft, review, and negotiate legal documents and agreements to ensure compliance with applicable laws, regulations, and professional standards.
- Partner with cross-functional teams to identify, assess, and mitigate legal risks across programs, clearing blockers and escalating issues when appropriate.
- Advise on licensing matters and manage the process of obtaining and maintaining official permissions, permits, or intellectual property rights as needed.
- Mentor and develop other legal professionals, contribute to recruitment efforts, and model best practices that drive process improvements within the legal team.
Basic Qualifications
- 5+ years of post bar admission legal experience
- Juris Doctor and membership in one state bar or equivalent
Preferred Qualifications
- Knowledge of IT infrastructure, outsourcing, telecommunications, cloud computing services or equivalent
- Knowledge of IT/technology transactions or equivalent
- Experience managing and coordinating multiple projects simultaneously
- Experience in complex commercial or technology transactions

The base salary range for this position is listed below. Your Amazon package will include sign-on payments and restricted stock units (RSUs). Final compensation will be determined based on factors including experience, qualifications, and location.
