Corporate Counsel
A Day in Your Life at MKS:
MKS is seeking a Corporate Counsel to join its global Legal Department. The successful candidate will report to the Company’s Vice President, Associate General Counsel & Secretary, and will work on a team with responsibility for a broad range of securities, corporate governance, and other corporate legal matters, including SEC disclosure, debt refinancings/restructurings, equity plan management, tax reorganizations and global subsidiary management. This is a great opportunity to work with an energetic, creative and driven team for a large, international corporation.
This is a hybrid role requiring 3 days on-site weekly in Andover, MA.
You Will Make an Impact By:
- Preparing and/or reviewing SEC/‘34 Act filings, including the proxy statement, annual report on Form 10-K, quarterly reports on Form 10-Q, 8-Ks, and Section 16 filings.
- Reviewing and advising on investor relations matters, such as earnings releases, earnings scripts, investor presentations and other communications.
- Supporting the corporate secretarial function, including board- and committee-related matters.
- Supporting corporate finance transactions, including debt and equity offerings.
- Supporting equity plan matters, such as stock incentive plan and employee stock purchase plan matters.
- Supporting executive compensation and other compensation matters.
- Supporting internal tax reorganizations and other tax initiatives.
- Managing global subsidiaries, including with respect to cash repatriation and intercompany agreements.
- Supporting M&A transactions, including antitrust regulatory work.
- Collaborating with cross-functional teams including Finance, Investor Relations, Tax/Treasury, and Human Resources
Skills You Bring:
- BA/BS, JD from an accredited law school.
- 5+ years’ focused experience with securities and corporate governance matters, developed through advising public company clients at a large law firm and/or supporting the securities function of a public company as an in-house lawyer.
- Licensed member of at least one state bar.
- Demonstrated experience and a genuine interest in securities and corporate governance matters.
- Strong knowledge of public company reporting, disclosure and compliance obligations.
- Excellent oral, written and interpersonal communication skills, coupled with the ability to synthesize complex legal concepts into clear, concise, and pragmatic legal advice and written work product that support business objectives.
- Exceptional ability to stay organized and multitask.
- Meticulous attention to detail and accuracy as well as comfort working in a fast-paced environment.
- Unwavering ethics and integrity in all engagements.
- Collaborative and collegial team player who fosters positive working relationships through empathy, respect and professionalism.
- Self-starter with a strong desire to learn and grow in a dynamic environment.
- General familiarity with finance and/or accounting matters.

Compensation and Benefits:- Salary Pay Range: $155,250.00 - 258,750.00 USD Annual per year. This range is a good faith estimate of the expected salary range for this position, based on a wide range of factors including qualifications, experience and training, operational and business needs and other considerations permitted by law. At MKS, it is not typical for an individual to be hired at or near the top of the range for the role.
- Bonus: This position is eligible for a discretionary annual bonus, in an amount to be determined by MKS (or as applicable).
