The Role

Reporting to a Senior Manager within the Markets Company Secretariat team based in London, the Senior Associate will play a key role in supporting the delivery of high-quality governance and company secretarial services across a portfolio of regulated and non-regulated legal entities within the Markets division.

The role will be responsible for the end-to-end management of a portfolio of subsidiary boards and committees, ensuring compliance with applicable legal, regulatory and governance requirements. The successful candidate will act as a trusted governance adviser to Board Chairs, directors and senior stakeholders while supporting the continued enhancement of governance frameworks and secretariat processes across the division.

This position would suit an experienced company secretarial professional who is seeking to broaden their governance expertise, develop stakeholder management skills and contribute to the governance of a complex, highly regulated financial markets infrastructure.

Key Responsibilities

  • Assisting the efficient and effective secretarial and administrative service to a portfolio of key subsidiaries including scheduling meetings, drafting agendas, preparing board packs, attendance at meetings, taking minutes at meetings, and following up on actions.
  • Drafting and coordinating board resolutions, written resolutions and supporting documentation for corporate actions.
  • Manage the annual governance calendar for assigned entities. Prepare forward planners and meeting schedules in consultation with Chairs, Executives and stakeholders.
  • Handling statutory administration of subsidiaries including maintaining statutory records, responsibility for appropriate filings and updating the Group’s database (GEMs) with any changes.
  • Handling the on-boarding, induction and annual programme of director training for a portfolio of key regulated subsidiaries including supplying relevant induction materials, supporting regulatory notifications (where required), and ensuring conflicts of interest are up to date, scheduling induction meetings and director training sessions etc.
  • Handling the year end statutory accounts process for subsidiaries including the review of subsidiary accounts and financial documentation as the need arises throughout the year.
  • Record keeping and responding to legal, regulatory and other external information requests, second line reviews and internal audit.
  • Assist with annual board and committee effectiveness reviews, including preparation of supporting materials and analysis of outcomes.
  • Support the development and maintenance of policies, procedures, process notes and governance guidance materials.
  • Identify opportunities to improve governance effectiveness, consistency and efficiency across the Markets entity portfolio.
  • Supporting a range of governance projects as required.

Experience and Skills

Essential

  • Educated to degree level or equivalent.
  • Previous experience within a company secretariat or corporate governance function, typically with 3-5 years' relevant experience.
  • Experience supporting subsidiary board and committee meetings within a regulated or complex corporate environment.
  • Experience drafting board and committee minutes, resolutions and corporate governance documentation.
  • Strong understanding of company law, corporate governance principles and statutory compliance requirements.
  • Excellent written and verbal communication skills with strong attention to detail.
  • Strong organisational and project management skills, with the ability to manage multiple competing priorities.
  • Ability to build effective relationships with directors, senior management and business stakeholders.
  • Strong IT literacy, including Microsoft Office applications and governance platforms.

  • Experience within financial services, market infrastructure or a listed company environment.
  • Experience supporting regulated entities and engaging with regulatory governance requirements.
  • Experience using Diligent Entities, Diligent Boards, GEMS or similar governance systems.
  • Exposure to board effectiveness reviews, director induction programmes and governance transformation initiatives.
